These terms govern the relationship between you (the Partner) and Demo Ltd (Demo Ltd) when your equipment is listed through our Community Hire programme. Please read them carefully before listing any equipment with us.

1. The arrangement

1.1 Demo Ltd operates a community hire programme through which independent equipment owners (Partners) can list professional audio and lighting equipment alongside Demo Ltd's own inventory on demo.kitdesk.co.uk.

1.2 This is an agency arrangement. Demo Ltd acts as agent on your behalf when hiring out your equipment. You remain the owner of your equipment at all times.

1.3 Demo Ltd handles all client relationships, quotations, bookings, and invoicing. You are not required to deal with clients directly.

1.4 This arrangement does not create an employment relationship, partnership, or joint venture between you and Demo Ltd.

2. Approval and listing

2.1 All equipment must be submitted for review and approved by Demo Ltd before it is listed. Approval is at Demo Ltd's sole discretion.

2.2 Demo Ltd reserves the right to remove any listing at any time, with or without notice, if the equipment no longer meets our standards or if demand warrants it.

2.3 You may manage your listings through your partner portal — updating availability, rates, and quantities. Any new items must be submitted for approval before listing.

2.4 Rates displayed on the hire site are set by you, subject to Demo Ltd's minimum rate guidelines. Demo Ltd may apply a job-specific rate override with your agreement.

3. Equipment standards

3.1 All equipment listed must be in full working order, professionally maintained, and fit for professional hire use.

3.2 PAT testing: All mains-powered equipment must hold a valid PAT test certificate (no more than 12 months old) before it goes out on hire. You are responsible for arranging and funding PAT testing unless you have separately agreed with Demo Ltd that we will test your equipment (in which case our testing fee applies).

3.3 You must notify Demo Ltd immediately if any listed equipment becomes unserviceable, damaged, or otherwise unavailable.

3.4 Equipment must be clean, complete with all cables and accessories as described, and presented in a professional condition.

4. Availability and logistics

4.1 When you mark equipment as available in your partner portal, you are confirming it is ready to go out on hire. Listing equipment as available when you know it to be unavailable constitutes a breach of these terms.

4.2 When your equipment is booked onto a job, Demo Ltd will contact you to coordinate delivery and collection. You are responsible for getting your equipment to the agreed collection point (typically Demo Ltd's warehouse or directly to the venue as agreed) on time.

4.3 Late delivery or failure to deliver booked equipment may result in Demo Ltd sourcing a replacement at your cost and/or suspension of your listings.

4.4 If you need to mark equipment unavailable for a period, please do so promptly in your portal. Repeated failures to maintain accurate availability may result in removal from the programme.

5. Commission and payment

5.1 Your commission rate is agreed at the time of onboarding and shown in your partner portal. Unless otherwise agreed, the standard rate is 80% of the hire revenue for your items to you, with 20% retained by Demo Ltd.

5.2 Demo Ltd will issue a remittance statement to you within 14 days of a job closing (all equipment returned and confirmed).

5.3 Payment will be made by bank transfer within 30 days of the job closing date, provided your payment details are up to date.

5.4 Commission is calculated on the net hire revenue for your specific items, excluding VAT, delivery charges, and any discounts applied to the overall job.

5.5 In the event of a client cancellation, your commission will be calculated on any cancellation fee collected by Demo Ltd that is attributable to your equipment.

5.6 Demo Ltd reserves the right to withhold or offset payment in the event of damage, loss, or costs arising from your equipment or your failure to deliver.

6. Damage, loss and liability

6.1 Demo Ltd takes reasonable care of your equipment while it is in our possession or on hire to a client. However, Demo Ltd's liability for damage or loss is limited to the hire value generated by the damaged or lost item over the preceding 12 months.

6.2 In the event of client-caused damage or loss, Demo Ltd will pursue the client for recovery and pass on any recovered costs to you after deducting reasonable administration costs.

6.3 Normal wear and tear is excluded. You accept that professional hire equipment will sustain some wear through normal use.

6.4 You remain responsible for any injury or damage caused by a defect in your equipment that you knew about or ought reasonably to have known about.

7. Insurance

7.1 Demo Ltd holds public liability insurance covering its operations. This does not extend to cover your equipment or your personal liability.

7.2 You are strongly recommended to hold appropriate insurance covering your equipment while on hire, including coverage for damage, theft, and public liability arising from your equipment.

7.3 On request, Demo Ltd may ask you to provide evidence of relevant insurance before your equipment is used on a job.

8. Termination

8.1 Either party may end this arrangement at any time by giving 14 days written notice to the other.

8.2 Demo Ltd may suspend or terminate your participation immediately if you breach these terms, provide false information, or your equipment causes injury or damage.

8.3 On termination, any outstanding payments due to you will be settled within 30 days, subject to any deductions under clause 5.6.

8.4 Termination does not affect any rights or obligations that arose before the termination date.

9. General

9.1 These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

9.2 Demo Ltd may update these terms from time to time. We will notify you of material changes via email. Continued participation after notification constitutes acceptance of the updated terms.

9.3 If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.

9.4 These terms constitute the entire agreement between you and Demo Ltd in relation to the Community Hire programme, superseding any previous arrangements.
